PT Pantai Indah Kapuk Dua, Tbk

PT Pantai Indah Kapuk Dua Tbk (“PANI”), formerly known as PT Pratama Abadi Nusa Industri Tbk, was established as set forth in the Deed of Establishment of PT Pratama Abadi Nusa Industri No. 4 dated March 4, 1999, made before Drs. Gde Ngurah Putra, S.H., Notary in Jakarta. The Deed of Establishment was approved by the Minister of Justice of the Republic of Indonesia pursuant to Decree No. C-11863 HT.01.01.TH.99 dated July 2, 1999, and subsequently registered in the Company Register and announced in the State Gazette of the Republic of Indonesia.

PANI commenced its commercial operations on March 1, 2001, initially engaging in the manufacturing of can packaging products. In December 2017, PANI expanded its business portfolio through the acquisition of PT Windublambangan Sejati, a company engaged in fishery product processing and freezing and cold-storage services.

PT Pantai Indah Kapuk Dua Tbk (“PANI”) commenced its business activities on 1 March 2001 as a manufacturer in the metal can packaging industry. In December 2017, PANI acquired PT Windu Blambangan Sejati, a company engaged in fish processing and cold storage/freezing services. On 18 September 2018, PANI became a publicly listed company through its initial public offering on the Indonesia Stock Exchange, with a nominal share value of IDR 108 and a total of 150 million shares listed. In 2021, PT Multi Artha Pratama (MAP), which is engaged in property developers in PIK, took over 80% of the Company's shares or 328 million shares. With the entry of MAP as the majority shareholder, PANI diversified its business portfolio into a property developer sponsored by Agung Sedayu Group and Salim Group. Then, PANI carried out corporate actions, namely increasing capital by granting PreEmptive Rights Issue I (“PMHMETD”), PANI conducted a limited public offering of 13,120 million new ordinary shares on behalf of a nominal value of IDR100 per share with an offering price of IDR500 per share and has been listed on the Indonesia Stock Exchange on August 23, 2022.

Following the change in controlling shareholder, PANI shifted its principal business focus toward property development and became part of the broader development of Pantai Indah Kapuk Dua (“PIK2”), in collaboration with the Agung Sedayu Group and Salim Group. The Company subsequently undertook a series of strategic corporate actions to strengthen its capital structure and support the expansion of its property development business.

PANI has completed the second PMHMETD II process amounting to Rp10.5 trillion with a limited public offering of 2,097 million ordinary shares with a nominal value of IDR 100 per share with an offering price of IDR 5,000 per share and has been listed on the Indonesia Stock Exchange on December 6, 2023. In August 2024, PANI has completed two series of Non-Preemptive Right Issues (“NPRI”) with new capital received total of IDR 6.5 trillion and new shares issued total of 1,256,445,500 shares. Fund retrieved from the NPRI I and NPRI II were allocated for PANI’s business expansion by adding 232 hectares land bank in PIK2, Tangerang, Banten. On January 13, 2025, PT Bangun Kosambi Sukses Tbk (“CBDK”), a subsidiary of PANI, successfully listed on the Indonesia Stock Exchange through an Initial Public Offering (“IPO”). The CBDK IPO raised IDR 2.3 trillion, which was fully allocated for the construction of the Nusantara International Convention Exhibition (“NICE”), spanning ±123,000 m² and capable of accommodating up to 104,000 people. NICE has been operational since the fourth quarter of 2025. In June 23, 2026, PANI carried out PMTHMETD IV, issuing 72,476,000 additional shares at an exercise price of Rp6,875 per share, which were listed on the Indonesia Stock Exchange on June 24, 2026. The funds raised from this corporate action were used to implement specific business plans, particularly to strengthen the capital structure and support the continuity of business operations of the subsidiaries, namely PT Panorama Eka Tunggal and PT Karunia Utama Selaras, through capital injections. As of June 30, 2026, PANI manages a land bank of 1,809 hectares, strengthening the Company’s position as a leading property developer with a portfolio of strategic land. With this land bank, PANI continues to deliver high quality projects to its customers. PANI’s vision and mission are to become a leading property developer known for its quality, commitment, integrity, and trustworthy.

Today, PANI has evolved from its origins as a manufacturing company into a property-focused company with a significant role in the development of PIK2. Through its subsidiaries, strategic investments, substantial land bank, and integrated development platform, PANI continues to pursue the development of PIK2 as a modern and integrated township.
